Terms & Conditions

These Terms and Conditions ("Terms") govern the use of the Viro for Microsoft Teams application ("the Application") provided by Viro Climate Action Inc. ("Viro," "we," "our," or "us"). Viro is available through Microsoft AppSource and meets Microsoft's stringent data, safety, and privacy standards. This ensures that the Application adheres to Microsoft’s compliance frameworks, providing additional assurance of security and reliability for Organizations using the Application. By using the Application, you ("the User" or "the Organization") agree to these Terms.

1. About Viro for Microsoft Teams

​

Viro for Microsoft Teams is an employee engagement application designed to enhance corporate sustainability initiatives. The Application enables employees to log environmental actions, calculate carbon pollution reductions, and collaborate on sustainability efforts.

2. Eligibility

​

Access to the Application is restricted to authorized employees of the Organization that has entered into an agreement with Viro. Only employees granted access by the Organization’s IT administrator are eligible to use the Application. Unauthorized individuals or external parties are strictly prohibited from accessing or using the Application.

3. Access and Use

​

3.1 User Access

Access to the Application is granted through Microsoft Teams permissions managed by the Organization's IT administrator. Authorized employees may use the Application without additional sign-ins.

3.2 Content Submissions

Users may log daily environmental actions and optionally upload photos to accompany their logs. These photos are visible to other employees within the same Organization who have access to the Application. The Organization retains ownership of any content submitted, and Viro does not claim rights over submitted content.

4. Pricing and Payment

4.1 Fees

Pricing for the Application is determined on a per-user basis and is negotiated directly with Viro before the engagement begins.

​

4.2 Cancellations and Refunds

Organizations may cancel their agreement and request a refund within 30 days of the start date of their engagement.

5. Data Storage and Privacy

​

5.1 Data Input by Users

Users may log environmental actions that include descriptive text and optional photo uploads. No geolocation or demographic information is collected by the Application.

​

5.2 Data Segmentation and Isolation

All data is stored within the Organization's dedicated Microsoft Dataverse environment. Viro guarantees that data from one Organization is completely isolated and inaccessible to other Organizations. No data is shared, aggregated, or transmitted between different Organizations.

5.3 Data Access

Viro does not collect, access, or process any data entered into the Application by users. All data remains under the Organization’s control within Microsoft Dataverse. Viro cannot access this data unless explicitly granted temporary access by the Organization’s IT administrator for support purposes.

5.4 Data Deletion

Upon contract termination, the Organization is solely responsible for deleting data stored in its Microsoft Dataverse environment. Since Viro does not have access to the Organization’s data, Viro cannot delete or retrieve this data. Support will be provided upon request to assist the Organization in performing data deletion.

5.5 Compliance with Evolving Privacy Laws

Viro is committed to compliance with all applicable privacy laws, including but not limited to GDPR and CCPA. As privacy laws evolve, Viro will update these Terms as needed to address new requirements for transparency, user rights, and data residency.

6. Prohibited Activities

​

Due to the nature of the Application, there are no prohibited activities applicable. Users do not have access to sensitive or proprietary information through the Application.

7. Intellectual Property

​​

7.1 Ownership

Viro Climate Action Inc. owns all software, trademarks, and content related to the Viro for Microsoft Teams application, excluding data generated by the Organization's use of the Application. The Organization retains ownership of all data generated through the Application, including user logs, submissions, and any associated metadata.

7.2 User License

Users are granted a limited, non-transferable, non-exclusive license to use the Application during the duration of their Organization's subscription. This license is restricted to the intended functionality of the Application and does not grant any rights to modify, distribute, or resell the Application.

8. Liability and Disclaimers

​

8.1 Limitation of Liability

Viro is not liable for any errors, interruptions, or downtime of the Application. The Organization is responsible for managing permissions and ensuring the proper use of the Application.

8.2 Disclaimers

The Application is provided "as is," and Viro makes no warranties, express or implied, regarding its performance or fitness for a particular purpose.

9. Support and Maintenance

​

Viro is committed to providing timely support to ensure the proper operation of the Application. Support requests submitted via email to nick@viro.app will receive an initial response within one business day. Viro will make every effort to resolve issues promptly, depending on the complexity of the request.

10. Dispute Resolution

​

10.1 Arbitration Clause

In the event of a dispute arising out of or related to these Terms or the use of the Application, both parties agree to resolve the matter through binding arbitration conducted in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Nashville, Tennessee, and the decision of the arbitrator shall be final and binding on both parties.

10.2 Custom Terms for Large Clients

Large enterprise clients may negotiate custom dispute resolution terms, including the choice of governing law, arbitration location, or other provisions as mutually agreed during the contract negotiation phase.

10.3 Costs of Arbitration

Each party shall bear its own costs and attorney’s fees related to arbitration unless otherwise awarded by the arbitrator.

11. Governing Law

​

These Terms are governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of laws principles.

​​

12. Amendments

​

Viro reserves the right to amend these Terms at any time. Organizations will be notified of material changes via email at least 30 days prior to the effective date of the amendment.
