These Terms of Use (“Terms”) govern your access to and use of the Viro AI mobile and web applications, websites, and related services (collectively, the “Service”). By creating an account, accessing, or using the Service, you agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, do not use the Service.

1. The Service

Viro AI provides generative AI chat and related features, including sustainability-focused tools, contextual advertising, connected-service features, and paid subscription plans (“Features”).

Some Features may require an active subscription. We may add, change, limit, suspend, or remove Features over time as the Service evolves.

Viro AI is a general-purpose AI assistant. It is not a substitute for professional advice, emergency services, therapy, medical care, legal counsel, financial advice, or safety-critical decision-making.

2. Eligibility

You must be at least 13 years old, or the minimum age required in your jurisdiction, to use the Service.

If you are under 18, you may use the Service only with permission and supervision from a parent or legal guardian.

By using the Service, you represent and warrant that you meet these eligibility requirements.

The Service is not directed to children under 13, and you may not use the Service if you are under 13.

3. Account Responsibilities

You are responsible for maintaining the confidentiality and security of your account credentials.

You are responsible for all activity that occurs under your account.

You agree to provide accurate account information and to notify us if you believe your account has been accessed without authorization.

You may delete your account at any time. Account deletion and data handling are described in our Privacy Policy.

4. Subscriptions & Billing

4.1 Subscription Platforms

Mobile subscriptions are managed through RevenueCat and the applicable app marketplace, including Apple App Store or Google Play.

Web subscriptions are managed through Stripe Checkout.

4.2 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before renewal.

By purchasing a subscription, you authorize the applicable payment provider to charge the subscription fee and any applicable taxes on a recurring basis until cancelled.

4.3 Cancellation

For iOS and Android subscriptions, you must manage or cancel your subscription through the applicable app marketplace subscription settings.

For web subscriptions, you may manage or cancel your subscription through your Viro AI account in the browser.

You may also contact us for support at nick@viro.app, but cancellation timing and refund eligibility may depend on the applicable platform or payment provider.

4.4 Free Trials and Introductory Offers

If offered, free trials or introductory pricing apply only for the period stated at the time of signup.

After the trial or introductory period ends, standard pricing applies unless you cancel before renewal.

4.5 Refunds

Refunds for mobile subscriptions are generally handled by Apple or Google according to their respective policies.

Refunds for web subscriptions may be handled through Stripe and are provided at our discretion unless otherwise required by law.

Subscription fees are non-refundable except where required by applicable law or by the policies of the applicable payment platform.

5. User Content

“User Content” means prompts, messages, files, images, or other content you submit to the Service.

You retain any rights you have in your User Content.

You are responsible for your User Content and for ensuring that you have the rights necessary to submit it to the Service.

You grant Viro AI a limited license to process User Content as necessary to provide, maintain, secure, and improve the Service, generate AI responses, enforce these Terms, comply with law, and address safety or abuse concerns.

We do not use User Content to train AI models.

6. AI Outputs

“AI Outputs” means responses or other content generated by the Service.

Subject to these Terms, you may use AI Outputs for personal or commercial purposes unless prohibited by law, these Terms, or third-party rights.

We do not claim ownership over AI Outputs you generate.

AI Outputs may be inaccurate, incomplete, outdated, misleading, offensive, or unsuitable for your specific situation. You are responsible for reviewing, verifying, and deciding whether to rely on or use AI Outputs.

You should not represent AI Outputs as human-generated when doing so would be misleading, deceptive, or unlawful.

7. No Professional Advice

The Service does not provide medical, legal, financial, tax, investment, mental health, safety, or other professional advice.

AI Outputs are for informational and general assistance purposes only.

You should consult a qualified professional before making decisions involving health, law, finances, employment, housing, safety, or other important matters.

You are solely responsible for decisions made based on AI Outputs.

8. Emergencies and Crisis Situations

Viro AI is not an emergency service, crisis hotline, therapist, medical provider, law enforcement service, or substitute for professional help.

If you are in danger, may harm yourself or others, or need urgent help, call emergency services or contact a qualified crisis support provider immediately.

Do not rely on the Service for emergency communications, urgent safety guidance, or crisis intervention.

9. AI Safety & Acceptable Use

You may not use the Service to create, request, upload, distribute, or assist with content or activity that is illegal, exploitative, abusive, deceptive, or unsafe.

Prohibited uses include, but are not limited to:

Sexual, romantic, exploitative, or abusive content involving minors or age-ambiguous characters
Grooming, sexualization of minors, or attempts to solicit sexual content from or about minors
Instructions, encouragement, or assistance for self-harm, suicide, eating disorders, or serious physical harm
Instructions for violence, weapons, explosives, or evading law enforcement
Threats, harassment, stalking, bullying, or targeted abuse
Hate, dehumanization, or discriminatory harassment
Non-consensual sexual content, intimate imagery, or sexual exploitation
Fraud, scams, phishing, impersonation, credential theft, or social engineering
Malware, hacking, unauthorized access, or attempts to bypass security systems
Illegal drug manufacturing, trafficking, or other criminal activity
Attempts to bypass, disable, manipulate, or test the Service’s safety systems
Use of the Service in a way that violates applicable law or third-party rights

We may refuse to generate, remove, limit, or block content that we believe violates these Terms or creates safety, legal, or reputational risk.

10. Minors and Age-Restricted Content

The Service is not designed for children under 13.

Users under 18 may use the Service only with permission and supervision from a parent or legal guardian.

The Service is not designed to provide therapy, crisis counseling, romantic companionship, sexual content, or other age-restricted experiences.

You may not use the Service to generate sexual, romantic, exploitative, or otherwise inappropriate content involving minors or age-ambiguous characters.

11. Advertising

The Service may display contextual advertising.

Ads may be based on the content of the current message or session context. Ads are not based on behavioral profiles, cross-app tracking, or your full chat history.

Advertisers do not receive your email address, account identity, or personal account details.

Your use of third-party ads, websites, products, or services is governed by the terms and privacy policies of those third parties.

12. Third-Party AI Providers and Connected Services

The Service may use third-party AI providers, cloud infrastructure providers, payment providers, analytics providers, advertising providers, and other service providers to operate the Service.

When you send a message, your message content and relevant context may be securely transmitted to third-party AI providers to generate a response.

We do not send your email address or account identity to AI model providers for inference.

We do not permit AI model providers to use your chats to train their models.

If you choose to connect third-party services, such as Google Calendar, you authorize Viro AI to access and process information from those services as necessary to provide the requested Features.

Your use of third-party services may also be subject to their own terms and privacy policies.

13. Prohibited Technical Uses

You may not:

Reverse engineer, decompile, copy, or modify the Service
Hack, disrupt, overload, or interfere with the Service
Circumvent rate limits, access controls, subscription controls, or safety systems
Use bots, scrapers, crawlers, or automated systems without written permission
Resell, sublicense, lease, or commercially exploit the Service except as expressly allowed
Use the Service to build a competing product or train competing models without written permission
Access the Service through unauthorized methods
Misrepresent your identity or affiliation
Violate applicable laws, regulations, or third-party rights

14. Enforcement

We may suspend, restrict, or terminate your access to the Service if we believe you have violated these Terms, created risk for Viro AI or others, misused the Service, or engaged in unlawful or harmful activity.

We may also remove or refuse to generate content, limit access to certain Features, or take other action necessary to protect the Service, users, or the public.

We are not required to provide advance notice before taking enforcement action.

15. Intellectual Property

All Viro AI trademarks, logos, code, designs, branding, software, technology, and proprietary content are owned by Viro LLC or its licensors.

You may not use Viro AI’s trademarks, logos, branding, or proprietary materials without prior written permission.

These Terms do not grant you ownership of the Service, software, technology, branding, or other Viro AI intellectual property.

16. Feedback

If you provide suggestions, ideas, bug reports, feature requests, or other feedback, you grant Viro AI the right to use that feedback without restriction or compensation to you.

17. Privacy

Your use of the Service is also governed by our Privacy Policy.

Please review the Privacy Policy to understand how we collect, use, disclose, and safeguard information.

18. Service Availability and Modifications

We may update, modify, suspend, or discontinue the Service or any Feature at any time.

We do not guarantee that the Service will be uninterrupted, error-free, secure, or available at all times.

We may impose usage limits, rate limits, or access restrictions where necessary to operate the Service, prevent abuse, manage costs, or protect users.

19. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory.

To the maximum extent permitted by law, Viro AI disclaims all warranties, including warranties of accuracy, reliability, availability, merchantability, fitness for a particular purpose, non-infringement, and uninterrupted operation.

We do not guarantee that AI Outputs will be accurate, safe, appropriate, complete, or suitable for your needs.

20. Limitation of Liability

To the maximum extent permitted by law, Viro AI, Viro LLC, and our owners, employees, contractors, affiliates, partners, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost data, loss of goodwill, service interruption, or decisions made based on AI Outputs.

To the maximum extent permitted by law, our total liability for any claim related to the Service or these Terms will not exceed the greater of:

The amount you paid to Viro AI in the three months before the claim arose; or
$100

Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.

21. Indemnification

You agree to defend, indemnify, and hold harmless Viro AI, Viro LLC, and our owners, employees, contractors, affiliates, partners, and service providers from any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:

Your use or misuse of the Service
Your User Content
Your violation of these Terms
Your violation of law or third-party rights
Your reliance on or use of AI Outputs

22. Changes to These Terms

We may update these Terms from time to time.

When we make changes, we will update the “Last Updated” date. If changes are material, we may provide notice through the App, by email, or by another appropriate method.

Your continued use of the Service after updated Terms become effective means you accept the updated Terms.

23. Governing Law

These Terms are governed by the laws of the State of Tennessee, without regard to conflict of law principles.
